TYCO

  • Directed the internal investigation into corporate affairs uncovering employee wrongdoing that had eluded its accountants for years, authored disclosures, and proposed recommendations for corporate reform programs.

  • Conceived and guided C-suite affirmative actions against wrongdoers, fortifying the company’s brand during crisis, reinforcing its good faith defense, ultimately facilitating recovery of looted assets.

  • Successfully defended corporation against SEC, other state and federal government regulatory inquiries, and state and federal criminal investigations.

  • Led corporate defense against complex security class action and derivative litigations, analyzing and narrowing legal theories, supervising teams of lawyers, regional law firms, forensic accountants, and consultants. After mediations, implemented global settlement of derivative and securities class action litigations that followed.

  • Successfully defended class action securities litigations and private and US antitrust litigations.

  • Successfully litigated on behalf of, advised the C-suites of, and avoided major exposures to multinational and domestic corporate clients in such diverse industries as: computer and technology (IBM – successful antitrust suit defense), energy and electric services (Nevada Power – avoidance of liability for forward contracts in Enron Bankruptcy litigation), food consumer products (Heinz – investigation into revenue reporting practices), financial services (Chemical Bank – defended complex commercial litigations and securities class action litigation for NYC default of general obligation bonds), and pharmaceuticals (Schering AG – dismissal of US matters against a foreign entity).

  • Coordinated multiple complex actions for domestic and multinational clients and high profile individual clients, achieving favorable results in civil, criminal, or regulatory proceedings.

FINANCIAL MARKETS

  • Co-founder and EVP of financial futures trading advisory firm. Negotiated unlimited-liability, leverage-strategy, investment advisory relationships with high-net-worth individuals and their representatives. Managed general business affairs of firm.

  • Principal architect of tax structure for sheltering short-term commodity gains and non-US source income in foreign corporations.

  • Represented financial institutions in securities class actions and large-scale contract litigations.
